Acceptance of Terms

By accessing or using Invoice Manager (“the Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all users, visitors, and others who access or use the Service.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity to these Terms, and that the entity agrees to these Terms.

Service Description

Invoice Manager is a business management platform providing invoicing, estimates, expense tracking, receipt scanning, mileage tracking, time tracking, accounting, tax tools, HR & payroll, inventory management, point of sale, analytics, project management, and an AI business assistant.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam, unsolicited communications, or engage in phishing
• Transmit malware, viruses, or destructive code
• Attempt to gain unauthorized access to any system or network
• Impersonate any person or entity
• Interfere with the proper functioning of the Service
• Reverse engineer or attempt to extract source code
• Use the Service for any fraudulent or deceptive purpose
• Violate the intellectual property rights of others
• Process or store data in violation of applicable privacy laws

Violation of these rules may result in immediate termination of your account without refund.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of iCubeLabs Inc. and its licensors. The Service is protected by copyright, trademark, and other applicable laws. Our trademarks may not be used without prior written consent.

You retain full ownership of all data and content you input into the Service. By using the Service, you grant iCubeLabs a limited, non-exclusive license to store, process, and display your content solely to provide the Service to you.

Your Data

Your business data belongs to you. You can export your data at any time from within the app. If you close your account, we will make your data available for export for 30 days before deletion.

You are responsible for the accuracy and legality of data you input into the Service, including ensuring you have the right to store any third-party personal information (such as client names and contact details) in compliance with applicable privacy laws.

Third-Party Services

The Service may contain links to or integrate with third-party services. These are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or reliability of any third-party service. Your use of third-party services is at your own risk.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Invoice Manager provides general business tools. It does not constitute legal, financial, accounting, or tax advice. Always consult a qualified professional for advice specific to your situation. Tax rates, rules, and calculations are provided for guidance only and may not reflect the most current regulations.

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We are not responsible for any data loss due to system failures.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ICUBELABS INC. AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) $100 USD.

Termination

You may cancel your account at any time through the app settings or by contacting support. We may suspend or terminate your access immediately if you breach these Terms, without notice or liability.

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will do so.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Montreal, Quebec.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice for material changes via email and/or a prominent notice in the Service. Continued use after the effective date constitutes acceptance of the new Terms.
